The models of construction of incentives and reasons system of enterprise activity are considered, their advantages and shortages are determined. Construction of the system of reasons and incentives through an simulation modeling with a view to development of innovative activity of machine-building enterprises is recommended; the algorithm of forming of the offered model is developed.
